Acceptance of terms
By accessing or using the Diamond Tool Exchange (DTX) website, you agree to these Terms of Service and any related policies referenced here, including our Privacy Policy and Legal page. If you do not agree to these terms, you should not use the site.
These terms may apply differently to general visitors, signup subscribers, buyers, and suppliers, and additional terms may apply if account, RFQ, or sourcing features are launched.
Use of the site
You may use the DTX site for lawful business purposes related to diamond tools, blades, and job-site procurement. This includes browsing public content, signing up for launch updates, joining the supplier waitlist, and participating in pilot sourcing workflows once available.
You agree to provide accurate information when you interact with the site (for example, when submitting your email for launch notifications, joining the supplier waitlist, or later creating accounts or submitting RFQs) and to keep any access credentials confidential.
Buyer & supplier responsibilities
Buyers
Buyers are responsible for verifying that the tools, blades, and equipment they request and purchase are appropriate for their intended job-site use, including specifications, certifications, ratings, and safety requirements. Buyers are responsible for evaluating supplier quotes and fulfilling their obligations under any resulting contract.
Suppliers
Suppliers are responsible for the accuracy of their listings, product information, quotes, lead times, and any claims made about their products. Suppliers are responsible for compliance with all applicable laws, regulations, and industry standards related to the manufacture, sale, and distribution of diamond tools and related equipment.
Prelaunch sourcing disclaimer
DTX is in prelaunch and is intended to support supplier discovery, request routing, and RFQ facilitation once those features become available. Current waitlists, forms, and supplier intake materials are not a guarantee of supplier verification, pricing, availability, fulfillment, or transaction support.
DTX does not guarantee pricing, availability, lead times, supplier performance, or any other terms quoted by suppliers, and does not endorse any specific supplier, buyer, or product. Any future agreement formed as a result of an RFQ, quote, or sourcing interaction is between the buyer and supplier directly.
Product information & compatibility tools disclaimer
Product information, specifications, images, descriptions, and any compatibility, matching, or tool-selection features displayed on the site are provided for general informational and guidance purposes only. While we endeavor to keep product data accurate, we do not warrant that this information is complete, error-free, or up-to-date.
Compatibility tools policy
Where DTX makes available any automated compatibility, matching, or tool-selection feature, such features may generate suggestions based on specs, dimensions, and tool models entered by the user (including but not limited to arbor sizes, machine models, RPM limits, flange sizes, and material categories). The user acknowledges and agrees that:
- Any such suggestions are provided as introductory guidance only and do NOT constitute professional advice, engineering recommendations, or a guarantee of compatibility, performance, or safety.
- These features rely on user-supplied specs and third-party manufacturer descriptions, which may contain discrepancies. They do not replace the requirement for independent professional verification.
- No Warranties: Any compatibility or matching feature offered on the site is provided “as is” without any warranty of correctness, suitability, safety, or fitness for a particular purpose.
- Assumption of Risk: The user assumes all risk associated with mounting, running, or operating any blade or tool selected using our site tools. Users must always verify dimensions, arbor fit, directional rotation, and RPM limits against the official manufacturer documentation and applicable safety guidelines (such as ANSI standards) before operating machinery.
- Limitation of Liability: DTX, its officers, employees, and agents are not liable for any machine or tool mismatching, blade failure, damage to equipment, operator injuries, or any subsequent direct, indirect, incidental, or consequential damages resulting from the use of any compatibility, matching, or tool-selection feature offered on the site.
Prohibited uses
When using the DTX site, you agree not to:
- Use the site in any way that violates applicable laws or regulations.
- Submit false, misleading, or fraudulent information, listings, or RFQs.
- Attempt to gain unauthorized access to the site, its systems, or other users’ accounts.
- Use the site to distribute spam, malware, or other harmful content.
- Scrape, copy, or otherwise misuse content, listings, or platform data without permission.
- Interfere with the normal operation of the site or with other users’ ability to use it.
We may suspend or terminate access to users who violate these terms or otherwise misuse the platform.
Intellectual property
The DTX name, logo, branding, written content, designs, code, and other materials on the site are owned by Diamond Tool Exchange or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from these materials without prior written permission, except as expressly allowed by these terms or by law.
Suppliers and buyers retain ownership of their own content, listings, and submissions, but grant DTX a limited license to host, display, and process that content as necessary to operate the platform.
Limitation of liability
To the maximum extent permitted by applicable law, DTX, its affiliates, and its team are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with your use of the site or any future sourcing features.
DTX’s total liability in connection with the site is limited to the maximum extent allowed by applicable law. The site is provided on an “as is” and “as available” basis without warranties of any kind, except where required by law.
Changes to terms
DTX may update these Terms of Service from time to time, particularly as the platform evolves and new features such as accounts, RFQ workflows, and sourcing transactions become available. When changes are made, we will update the “Last updated” date at the top of this page.
Continued use of the site after changes have been posted will be considered acceptance of the updated terms.
